About these terms
Luca is accounting software for small businesses, operated by LUCA TECH PTE. LTD. (UEN 202633929H), a company incorporated in Singapore ("Luca", "we", "us"). These terms are the agreement between you and us. They cover the luca.pro website, the application at app.luca.pro, our API, and everything you do with a Luca account.
You accept these terms when you tick the box at registration, and again each time you sign in or use Luca — including when you sign up or log in with Google. If you are opening an account for a business, you are confirming that the business has authorised you to act for it, and these terms bind that business.
Luca is built for running businesses. It is not for personal or household bookkeeping, and you must be at least 18 to hold an account. If you do not agree with something here, the honest advice is: do not create an account, or close the one you have. Using Luca means these terms apply.
A few words, defined
We have kept jargon out where we could. Five terms are worth pinning down, because they carry weight everywhere below:
- A "company" is a set of books inside Luca — one business entity, with its own transactions, contacts and reports. Your account can hold any number of companies.
- A "plan" applies per company: each company is on Free or Pro (or Managed), independently of your other companies.
- "Your data" means everything you and your team put into Luca — transactions, contacts, documents, settings — and everything Luca derives from it for you, such as reports.
- The "API" is the programmatic interface available to Pro companies, reached with API keys you generate in the app.
- An "agent" is any software acting on your behalf through the API — an AI assistant, a script, an automation you built or bought.
Registration and your account
- Give us accurate details when you register, and keep them current. We verify your email with a one-time code before the account opens.
- One account per person, opened for yourself or for a business that authorised you — not on behalf of an unrelated third party.
- We may decline or later close registrations that misrepresent who they are. An accounting product attracts people who want plausible-looking books; we owe it to everyone else to keep them out.
Keeping your account secure
- Your login is yours alone. Do not share your password — with colleagues, with contractors, with anyone. Luca supports unlimited users on every plan precisely so no one ever needs to share credentials.
- You are responsible for activity under your login, and the account holder is responsible for activity across the account.
- If you suspect someone has accessed your account without permission, tell us immediately at hello@luca.pro and change your password. We can end active sessions from our side when needed.
- We may take protective steps without notice when we see signs of compromise — signing out sessions, requiring re-verification, or temporarily locking the account. Protecting your books outranks convenience.
Your team and roles
You can invite as many people into your companies as you like, on any plan, and control what each can see and do through roles and permissions. Invitations are the right way to give an accountant, a bookkeeper or an employee access — never your own login.
People you invite act with the access you gave them. Review who has access from time to time, and remove people when they leave. What your team does in your books — including exporting or mishandling data they were allowed to reach — is between you and them.
The Free plan
The Free plan is the full accounting suite: double-entry accounting, invoicing, quotations and purchase orders, customers and vendors, bank accounts and transfers, inventory, multi-currency, journal entries, and the complete report set — GST, profit and loss, balance sheet, general ledger and trial balance. It comes with unlimited companies, unlimited users and unlimited transactions, at S$0. It is not a trial, it does not expire, and features do not degrade over time.
When you sign up we ask for a card. On the Free plan that card is used once, to verify you are a real business and to keep Luca abuse-free. It is never charged while you stay on Free. That is a promise, not small print — if you ever see a charge from us on a Free-only account, write to hello@luca.pro and we will make it right.
The Pro plan
Pro costs S$29 per company per month and adds the automation layer: API access, AI bill capture, statutory financial statements, and priority support from real accountants. Pro is per company — each company you upgrade is billed on its own, and companies you leave on Free stay free. Upgrading takes effect immediately.
You can cancel any time, in the app, without talking to anyone. A cancelled company keeps Pro until the end of the period you have already paid for, then moves to Free with all its data intact. If you change your mind during that window, you can resume the subscription and nothing is interrupted.
If a renewal payment fails, we do not cut you off on the spot: we retry the charge over the following days and email you, and the company keeps its Pro features during that window. If payment cannot be collected, the company moves to Free.
Billing and payment
- All payments are processed by Stripe. We never see or store your full card number.
- Pro renews monthly on your billing date until you cancel.
- Prices are in Singapore dollars. Any tax that applies is shown before you pay.
- Because a cancelled company keeps Pro until the end of its paid period, there is nothing to refund on cancellation — you always receive the time you paid for. Beyond that, fees already charged are non-refundable except where Singapore law says otherwise or where we got something wrong.
- If we change a price, we will tell you at least 30 days in advance, and the new price applies from your next billing cycle — never retroactively.
AI bill credit
- Each Pro company includes 100 AI-captured bills per month. The counter resets monthly and unused allowance does not roll over.
- Beyond the included 100, bills cost S$0.20 each, drawn from prepaid credit you top up in advance — S$50 buys 250 bills. The rate is always shown before you spend.
- Credit does not expire while your account is open. If a company moves from Pro back to Free, any remaining balance stays spendable on AI bill capture.
- Credit buys AI bill capture and nothing else. It cannot be refunded, transferred between accounts, or exchanged for cash.
- Invoices your agent settles through the API do not consume credit.
Managed
Managed is the plan where our accountants run your books for you. It is arranged directly with us rather than self-served in the app, and its scope, fees and service terms are set out in the separate engagement you sign for it. These terms still apply to your use of the software itself.
What "unlimited" means — fair use
Unlimited companies, users and transactions means exactly that, for its intended purpose: keeping real books for real businesses. Run five companies or fifty. Add your whole team. Record every transaction your business makes. An accountant managing books for forty clients is not an edge case to us — that is the product working as designed.
What unlimited does not cover: generating load that has nothing to do with bookkeeping; bulk-extracting data by hammering the app rather than using the API we provide for that; using Luca as a general-purpose file store; sharing one login instead of adding users; reselling access to Luca; or wrapping Luca to power a service of your own. Any of these can degrade Luca for everyone else, and that is the line.
We run automated guardrails against this kind of misuse. They may occasionally throttle or temporarily restrict an account, and if that happens to you, you will know — we notify you in the app or by email, we do not silently squeeze. If you believe a restriction was applied by mistake, contact hello@luca.pro; if we find no misuse, access is restored and we say sorry. Deliberate or repeated abuse is handled under the suspension section below.
Sending documents by email
Luca can send invoices, receipts and statements for you in three ways: through our own email service, through your connected Gmail account, or from a custom sending domain once you verify you own it.
This exists to deliver business documents to people you actually do business with. It is not a broadcast tool: no bulk promotional email, no messages to strangers, nothing that would breach Singapore’s Spam Control Act. The distinction matters beyond politeness — one customer spamming from our infrastructure damages email deliverability for every other Luca user.
If sending from your account starts to look like spam, we will pause sending on that account first and sort it out with you second. Repeated abuse ends the sending privilege, and possibly the account.
AI bill capture
AI bill capture reads the documents you upload and drafts entries from them. It is good, and it is not perfect. Optical characters smudge; totals hide in odd corners; the model occasionally reads a date as an amount. Review what it drafts before your books rely on it: nothing posts as final without approval on your side.
Capture runs on our own service, built and operated by us; the Privacy Policy sets out the boundaries. You remain responsible for what you upload — do not feed the capture pipeline documents you have no right to hold.
Statutory financial statements
Pro can compile statutory financial statements from the records in your Luca account. Compiled is the operative word: the statements are assembled from what you entered, and they are unaudited. We do not verify your underlying records, express an opinion on them, or provide any form of assurance. Whether the statements are filed, where, and by when remains your obligation — ACRA deadlines do not move because software was involved.
API access and your agents
- Pro companies get API access. Keys are issued per company, and they are secrets: do not share them, embed them in client-side code, or commit them to repositories. Rotate a key the moment you suspect it has leaked.
- Everything done with your keys counts as done by you — including everything your agents and automations do. An agent misposting five hundred journal entries is, contractually, you misposting five hundred journal entries. Point your agents carefully and give them the narrowest access that works.
- We apply fair rate limits to keep the API healthy for everyone, and we can revoke keys that threaten the service. Revocation for suspected misuse follows the fair-use process above.
- We evolve the API. When a change would break existing integrations, we aim to give you notice and a migration window rather than a surprise.
Your data is yours
Everything you put into Luca — transactions, contacts, documents, reports — belongs to you or to the business it belongs to. We claim no ownership of it, ever. We take only the licence we need to host it, process it, back it up and show it back to you and your team; that licence exists solely to run Luca for you, and it ends with your account, minus what the law makes us keep.
You can export your records whenever you like, in ordinary formats, without asking permission. We keep backups so a disaster on our side does not become a disaster in your books — but for records your business cannot afford to lose, keep your own exported copies too. Belt and braces is the accounting way.
When you enter personal data about other people — customers, suppliers, staff — you are responsible for having the right to use it. Our Privacy Policy explains exactly how we handle it on your behalf, and how we help if one of them asks you what is held.
Third-party services
Some of what Luca does runs through other providers, and some of it is optional plumbing you connect yourself: Stripe processes card payments; Google powers sign-in and the optional Gmail connection. When you connect a third-party service, its terms govern your relationship with it, and you are telling us you are entitled to connect that account. We choose providers carefully and bind them contractually where your data is involved, but we cannot answer for services we do not operate — and if a provider changes or withdraws something we built on, the affected feature may change or go away with it.
Acceptable use
Most of this is obvious, and writing it down protects the customers who never needed telling:
- Use Luca only for lawful purposes. Books that exist to deceive — a tax authority, a creditor, a business partner — are not welcome here.
- Do not upload malware or anything designed to damage, intercept or exfiltrate.
- Do not probe, scan or attempt to bypass Luca’s security, and do not attempt to reach other customers’ data. There is no white-hat exemption you grant yourself.
- Do not misrepresent who you are, to us or to the people you send documents to through Luca.
- Do not use Luca to send unsolicited bulk messages of any kind.
- Found a security vulnerability? Report it to hello@luca.pro before telling anyone else, give us a reasonable window to fix it, and do not touch data that is not yours while demonstrating it. We are grateful to people who report responsibly.
Early-access features
We sometimes ship features early, labelled as beta or early access, because feedback from real books beats speculation. Early features may change shape, misbehave, or be withdrawn entirely, and they come without the commitments we make for the stable product. If an early feature matters to your workflow, tell us — that is exactly the signal that graduates it.
Availability and change
We work hard to keep Luca fast and available, and we plan maintenance for quiet hours where we can. But we do not promise uninterrupted service — no honest software company can — and an outage, however painful, does not create liability beyond what the liability section below says.
Luca also keeps evolving. We add features, change how they work, and occasionally retire ones that did not earn their keep. If we materially reduce something you are actively paying for, we will give you notice before it happens, not after.
Intellectual property
The Luca software, its design, its brand and everything we built to make it work are ours, and using Luca transfers none of that to you. Do not copy the product, resell it, reverse-engineer it, or build a derivative from it. Your data stays yours, as section 17 says. If you send us feedback or ideas, we may use them to improve Luca without owing you anything — though we do read them, and we do appreciate them.
Disclaimers
Luca is provided as it is and as available. To the fullest extent Singapore law allows, we exclude implied warranties, including merchantability and fitness for a particular purpose.
Accounting software computes what it is given. If the numbers going in are wrong, the numbers coming out will be confidently, precisely wrong, and no software can save that. You are responsible for reviewing your books, your filings and your returns. Luca is a tool in your hands, not an accountant with duties to you — we do not provide tax, legal or investment advice, and nothing in the product should be read as any of those.
Limits on liability
To the extent Singapore law permits, we are not liable for indirect or consequential losses — lost profits, lost business opportunities, penalties from late or incorrect filings, losses caused by what you or your team did inside your own account, or losses flowing from third-party services.
Where we are liable, our total aggregate liability to you is capped at the fees you paid us in the twelve months before the event giving rise to the claim — or S$50 if you paid nothing in that period. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Singapore law, including liability for fraud or for death or personal injury caused by negligence.
Your responsibility to us
If a third party brings a claim against us because of something on your side — your breach of these terms, your unlawful use of Luca, data you had no right to upload, or documents you sent through Luca — you will cover the losses, damages and reasonable legal costs we incur dealing with it. We will tell you promptly about any such claim and will not settle it without giving you the chance to weigh in.
Suspension, and closing your account
You can close your account at any time from your settings, without notice periods or exit interviews. Export what you need first — closure is the one action we cannot fully undo for you.
We can suspend or close an account for material breach of these terms, fraud, abuse that survived the fair-use process, non-payment after the retry window, or where the law requires us to act. Where warning you first is reasonable and lawful, we will warn you first. Suspension pauses access; it does not delete your data.
When an account closes — by your hand or ours — fees already incurred remain payable, we keep what accounting and tax law obliges us to keep (the Privacy Policy has the details), and we delete or anonymise the rest. Sections of these terms that by their nature outlive the account — ownership of data, liability limits, the indemnity, governing law — survive closure.
Governing law and disputes
These terms are governed by Singapore law, and the courts of Singapore have exclusive jurisdiction over any dispute arising from them or from your use of Luca — including, where the amounts qualify, the Small Claims Tribunals. That said: before anything reaches a courtroom, talk to us. Nearly every problem we have ever had with a customer was fixed by a conversation at hello@luca.pro.
The boilerplate that still matters
- These terms, together with the Privacy Policy and any separate engagement you sign for the Managed plan, are the whole agreement between us about Luca, and they replace anything earlier, spoken or written.
- You cannot transfer this agreement to someone else. We can transfer it as part of a sale or restructuring of our business, and we will tell you if that happens.
- If a court finds one clause unenforceable, the rest stand.
- If we do not enforce a clause today, we have not given up the right to enforce it tomorrow. Waivers only count in writing.
- Nobody who is not party to these terms gets rights under them — the Contracts (Rights of Third Parties) Act does not apply.
- We are not in breach for failures caused by things genuinely beyond our control: natural disasters, wars, power or network failures at scale, acts of government. We will still work the problem.
- Formal notices from us to you go to the email on your account, and count as received 24 hours after sending. Keep that address current.
Changes to these terms
We will update these terms as Luca grows. For material changes we will give you at least 30 days’ notice by email or in the app before they take effect — enough time to read, object, or leave. Using Luca after a change takes effect means you accept it; if you do not, close your account before the change date and we will part as friends. The current version always lives at this address, with its effective date at the top.
